This role is responsible for managing a wide range of corporate governance requirements including coordination of the organisations audit, consumer protection, ethics, and data privacy requirements in the various regional markets for the Mobile Financial Services (MFS) business in the Pacific HUB. The role also provides high-level regulatory as well as secretariat support to key audit, risk and board committees and provides to support the Board of Directors for each market to ensure broader corporate governance requirements are in place and well-managed.

 

 

Core Responsibilities:

 

 

  • Responsible for the Governance plan and Regulatory Affairs strategy the MFS Pacific HUB (4/5) markets.
  • Provide high-level guidance and advice and undertake proactive action to ensure the MFS Pacific HUB markets are in compliance with legislation.
  • Fulfil the role of Company Secretary for MFS Pacific HUB (4/5) markets.
  • Manage MFS Pacific HUB market’s corporate reporting obligations including development, implementation and maintenance of governance and regulatory affairs policies and frameworks, strategic documents and procedures for the MFS Pacific business.
  • Co-ordinate due diligence as well as fit-and-proper assessments/submissions for Board of Directors.
  • Keep informed and abreast of changes to governance, audit, consumer protection, ethics, data privacy and regulatory requirements for each market.
  • Develop and maintain a training calendar/program as well as training material for corporate governance, consumer protection, ethics, data privacy and protection.
  • Identify, assess, and prioritize governance risks to Digicel and collaborate with the senior management team to mitigate identified risks effectively.
  • Develop and maintain effective and strategic working relationships and open channels of communication to facilitate engagement, liaison, consultation and/or participation in the development of risk-based governance frameworks with government agencies and regulators.
  • Conduct and manage third party due diligence requests.
  • Responsible for correspondence/submission of licensing applications, product approvals, statutory reports to regulators.
  • Manage the relevant registers to ensure compliance with Acts, statutes corporate governance requirements and frameworks, including gift registers, registers of interests, delegations, authorisations and appointments.
  • Ensure alignment and provide support to the Risk and Compliance Manager in regards to the AML Compliance and Risk Management objectives and strategies.
  • Maintain comprehensive record keeping applicable to governance and regulatory matters.

 

 

Academic qualifications, experience and skills required for this role:

 

 

  • Bachelor’s degree in Banking, Auditing, Governance or Law or a related field. A master's degree or professional certification or another similar certification would be an additional advantage.
  • Minimum of 5 years of relevant experience in Audit, Compliance, Corporate Governance and Risk Management within financial services or regulatory entity, with a track record of success.
  • Knowledge of Financial Services as well as Company laws and regulations applicable to Fiji, Nauru, Samoa, Tonga, and Vanuatu (preferred).
  • Knowledge and understanding of relevant laws and regulations relating to Payment Service Providers, International Money Transfer, Remittances, Mobile wallets and financial services is required.

 

Skills required for this role:

 

  • Experience with high-level secretariat and reporting at Board level (or equivalent).
  • Excellent organizational and time management skills
  • Excellent written, communication and interpersonal skills.
  • Knowledge and experience with managing governance frameworks – e.g. risk, policy and regulatory compliance.
  • Experience managing projects.
  • Ability to work independently and collaborate effectively with cross-functional teams.
